By accessing or using ApexTech44's website, software, or AI agent services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.
ApexTech44 provides custom software development, AI agent deployment, automation, and related consulting services. The specific scope, deliverables, pricing, and timeline for any project are defined in a separate written proposal or agreement ("Service Agreement"), which governs that project alongside these Terms.
Some services require you to connect third-party accounts (such as Google Workspace) through OAuth authorization. You are responsible for maintaining the security of your accounts and for all activity performed under your connected accounts. You may revoke ApexTech44's access at any time through your provider's account settings.
AI agents operate using automated systems and third-party models and APIs. While we take reasonable care in building and maintaining them, AI-generated output may contain errors or omissions. We recommend human review of agent output before relying on it for consequential decisions. We do not warrant uninterrupted or error-free operation of any third-party service.
Unless otherwise stated in your Service Agreement: fees are as quoted in your proposal or invoice; project fees are due per the payment schedule in that agreement; subscription fees (such as hosting and maintenance) renew monthly until cancelled; and overdue payments may result in suspension of services until paid.
Upon full payment, you own the custom deliverables created specifically for you. ApexTech44 retains ownership of its pre-existing tools, frameworks, templates, and internal processes, and grants you a license to use them as embedded in your deliverables.
We handle your information as described in our Privacy Policy. You retain ownership of your data; ApexTech44 claims no ownership of client business data processed on your behalf.
Services are provided "as is" except as expressly stated in a Service Agreement. We disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. We are not responsible for failures of third-party platforms, APIs, or internet services outside our control.
To the maximum extent permitted by law, ApexTech44's total liability arising from our services is limited to the fees you paid for the service giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data.
Either party may terminate a Service Agreement as provided in that agreement. You may cancel subscription services at any time; cancellation takes effect at the end of the current billing period unless otherwise agreed. Upon termination, we will provide reasonable assistance in transitioning your data back to you.
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
